SECTION 1 The name of the organization shall be the Westwood Neighborhood Association hereafter referred to as “Association”.
SECTION 2 The boundaries of the Association shall be the legal boundaries of the City of Westwood, Kansas.
Purpose and Objectives
SECTION 1 The Association is a voluntary and non-partisan 501c4 organization comprised of residents whose purpose is to determine the needs of the neighborhood and act in its best interest. The Association is the voice for community interests.
SECTION 2 The Association works to improve the environs of the City of Westwood, Kansas, its public services, housing, and residential parking.
SECTION 3 The Association is devoted to preserving and fostering the community’s traditions, architecture, and appearance by representing it before local governing bodies and administrative agencies in zoning, traffic, and parking matters.
SECTION 4 The goals of the Association are: 1. To encourage maintenance and improvement of residential, rental, business and other properties through cooperative efforts. 2. To be aware of the needs of our senior citizen neighbors and be available for assistance. 3. To build a greater awareness of identity with and pride in the neighborhood. 4. To cooperate with other neighborhood associations and organizations within the greater community in promoting common goals and common activities. 5. Our role is to work with city officials and advocate for concerns of residents. 6. We will work to improve communication among residents. 7. We will work in tandem with the police department, city government and residents.
SECTION 1 The membership of the association shall be open to residents and representatives of civic, business, religious and educational groups residing in the City of Westwood, Kansas.
SECTION 2 Dues may be charged members in such amounts as shall be determined by the Executive Committee. a. Dues for residents may be voluntary b. Dues for civic, business, religious and educational groups located within the City of Westwood, Kansas may be voluntary
SECTION 1 The Executive Committee of the Association shall be President, Vice President Secretary and Treasurer.
SECTION 2 The Executive Committee shall appoint three members of the Board of Advisers to be voting members of the Executive Committee. A simple majority of the combined present Executive Committee and Board of Advisers will be necessary to carry a motion.
SECTION 3 The role of the combined Executive Committee plus the three members of the Board of Advisers is to manage the affairs of the Association.
SECTION 4 The President shall perform all duties as generally pertain to the office of the President. Calling special meetings as necessary or canceling meetings in case of emergency; appointing special or ad hoc committees; etc.
SECTION 5 The Vice President shall perform all duties as generally pertain to the office of the Vice President. In the absence of the President, the Vice President shall assume the duties of that office.
SECTION 6 The Secretary Treasurer shall keep an accurate account of the proceedings of the meetings; shall have custody of all books and papers belonging to the Association except those specifically assigned to the President, and shall record and keep with the Bylaws and all amendments hereto. The Treasurer shall keep an accurate account of all monies received and disbursed, shall disburse no money except as directed by the President or a majority vote of the Executive Committee of the Association. The Treasurer shall make a written report of receipts, disbursements, and balances for each meeting. The President shall be authorized to sign checks of the Association in the absence or incapacity of the Treasurer.
SECTION 7 The Executive Committee shall determine which member holds which office and rotate offices at its Annual Meeting.
SECTION 8 Should a vacancy in the Executive Committee occur, the member vacating that office may appoint a member of the Board of Advisers to replace them. Should the vacating Executive Committee member fail to name their appointment within 30 days of vacating, the remaining Executive Committee member(s) may appoint a member of the Board of Advisers to replace the vacating Executive Committee member. Should the remaining Executive Committee fail to appoint a replacement Executive Committee member within 45 days the Board of Advisers shall appoint a member of the Board of Advisers to the Executive Committee.
Board of Advisers
SECTION 1 The role of the Board of Advisers is to advise and assist the Executive Committee in fulfilling the Purpose and Objectives of the Association.
SECTION 2 Position One shall hold office until the 2017 Annual Membership Meeting
Position Two shall hold office until the 2018 Annual Membership Meeting
Position Three shall hold office until the 2019 Annual Membership Meeting
SECTION 3 With the exception of the Incorporating Members above, the Board of Advisers for the Westwood Neighborhood Association shall be elected by the Membership at the annual meeting. The term of office shall be three (3) years.
SECTION 4 Should a vacancy in the Board of Advisers occur, the Executive Committee will appoint a person to complete the term of the vacated position.
Qualifications For Serving
SECTION 1 Members of the Executive Committee and the Board of Advisers shall be residents of the City of Westwood and if old enough to vote shall be registered voters in the State of Kansas (preferably registered in the City of Westwood, Kansas).
SECTION 2 Members of the Executive Committee and the Board of Advisers shall not hold any public office in or for the City of Westwood, Kansas. This includes but is not limited to any salaried, voluntary, appointed, advisory, ad hoc, etc., or any permanent or temporary public assignment that may compromise their independence of the governance of the City of Westwood or overshadow their role in the Association.
SECTION 1 The Executive Committee in conjunction with the Board of Advisers shall meet periodically as needed but at least four times per year. Meetings shall be called at the discretion of the President. All meetings are open to the general membership.
SECTION 2 The Association will hold an Annual Membership Meeting once a year.
SECTION 3 All meetings, including the Annual Meeting, are open to all commercial and residential members of the City of Westwood.
SECTION 4 The Executive Committee and the three appointed Board of Adviser members shall determine a date for their annual meeting. Should the Association adopt membership dues, only residential members in good standing 45 days prior to the annual meeting shall be allowed to vote.
SECTION 1 Whenever possible, the Association shall rule by consensus. When a consensus is not readily available or determined, Roberts Rules of Order shall govern the Association in all cases to which they are applicable and in which they are not consistent with these Bylaws.
SECTION 2 These Bylaws may be amended by the general membership at the annual meeting. Proposed amendments must be approved by the Executive Committee sixty (60) days prior to being presented at the annual meeting.
